Terms & Conditions Agreement Effective Date: December 25, 2023

This Terms and Conditions Agreement (the "Agreement") is entered into by and between Northstar Digital Marketing, hereinafter referred to as "NDM" or the "licensor", and “the Buyer” hereinafter referred to as "You" or "Yours" or the “Licensee”.

Scope of Agreement

Please read these terms and conditions carefully before purchasing or using this product. By purchasing or using this product, you acknowledge that you have read, understand, and agree to be bound by these terms and conditions. This Agreement represents a legally binding contract between you and Northstar Digital Marketing.

Payment

You agree to pay the specified amount for “The Roadmap” with Master Resell Rights, as indicated on the NDM website or any other platform used for purchasing. Payments shall be made through the designated payment methods provided by NDM.

Access and License Grant:

Grant of License: The Licensor grants you a non-exclusive, non-transferable license to use, reproduce, and resell 'The Roadmap' with Master Resell Rights ("MRR") product in accordance with the terms of this Agreement.

Resell Rights: You are authorized to resell the product to end-users, retaining all profits from sales within your network. The product must not be sold for less than $497.

Restrictions and Limitations: You are not permitted to modify, alter, or rebrand the product in any way, shape, or form. Private label rights are expressly excluded. However, you can claim ownership over the product and brand your sales process to be your own.

Refunds Policy:

All sales of 'The Roadmap' with Master Resell Rights ("MRR") product are final. Refunds will not be issued due to the downloadable nature of the content.

Intellectual Property:

NDM retains all intellectual property rights to the digital course, including but not limited to copyrights, trademarks, and trade secrets. You agree not to reproduce, distribute, or create derivative works based on the digital course under any circumstances.

Warranty and Liability:

'The Roadmap' with Master Resell Rights ("MRR") product is provided "as-is" without any warranty. NDM makes no warranties, express or implied, with respect to the product, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.

Limitation of Liability: Northstar Digital Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use the product.

Termination:

Breach of Agreement: This Agreement may be terminated by NDM in the event of a breach of its terms by the Licensee. Upon termination, you must cease all use and distribution of the product.

General Provisions:

Governing Law: This Agreement is governed by and construed in accordance with the laws of the NDM’s jurisdiction.

Venue: If litigation was to occur, the parties agree the court shall be in the NDM’s jurisdiction.

Maximum claim: The buyer agrees that their maximum litigation claim shall be no more than what they spent on the product.

Legal fees: The parties agree to pay their own legal fees in the event of a dispute.

Amendments:

NDM reserves the right to amend this Agreement at any time. Any changes will be effective immediately upon posting on the NDM website or other relevant platforms. It is your responsibility to review this Agreement periodically for updates.

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written. By purchasing or using 'The Roadmap' with Master Resell Rights ("MRR") product from NDM, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms and conditions, do not purchase or use this product.
